1. Acceptance of Terms

By accessing or using services provided by Edgent LLC ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Services

Edgent LLC provides IT consulting, instructional systems design, and engineering services for federal agencies and commercial enterprises. Services include training program development, enterprise architecture, AI/ML integration, cloud engineering, and CMMC compliance consulting.

3. Account Registration

To use certain features, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate, current information during registration.

4. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the integrity of our services
• Use our services to generate malicious code or content
• Resell or redistribute our services without authorization

5. Intellectual Property

Deliverables produced for your projects under a statement of work belong to you unless otherwise specified in the applicable contract. Edgent LLC's proprietary tools, methodologies, processes, and underlying technology remain the intellectual property of Edgent LLC.

6. Payment and Billing

Fees for consulting engagements are defined in the applicable statement of work or contract. Payment terms, invoicing schedule, and rates are agreed upon prior to engagement commencement. For federal contracts, billing complies with applicable FAR/DFARS provisions.

7. Service Delivery

We deliver consulting services in accordance with the applicable statement of work or contract. We guarantee our deliverables meet the acceptance criteria defined in the SOW. Edgent LLC uses proprietary AI-powered tools to accelerate delivery; all outputs are reviewed by qualified professionals before inclusion in client deliverables.

8. Data and Privacy

Your use of our services is also governed by our Privacy Policy. Project data, source code, and conversation history are stored securely and isolated per tenant.

9. Termination

Either party may terminate an engagement in accordance with the terms of the applicable contract or statement of work. Upon termination, all completed deliverables will be transferred to the client. Work in progress will be delivered to the extent completed at the time of termination.

10. Limitation of Liability

To the maximum extent permitted by law, Edgent LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of our services. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold Edgent LLC harmless from any claims, damages, or expenses arising from your use of our services or violation of these terms.

12. Changes to Terms

We may update these terms from time to time. We will notify registered users of material changes via email. Continued use after changes constitutes acceptance.

13. Governing Law

These terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Bastrop County, Texas.
